Maine Registered Agent Requirements: Rules and Statute (2026)
Maine wrote its registered agent law by adopting the Model Registered Agents Act, codified at 5 M.R.S. ch. 6-A and pulled into the LLC Act through 31 M.R.S. § 1531(1). The practical effect: your Certificate of Formation cannot be filed without the agent information required by § 105(1), and the appointment remains a live obligation for as long as the LLC exists.
Commercial and Noncommercial Agents
Maine's framework splits agents into two categories:
- A commercial registered agent is an individual or entity listed with the Secretary of State under § 106. On filings it is identified by name and CRA public number, and it keeps its address current through that listing.
- A noncommercial registered agent is, in the statute's words, "an individual or a domestic or foreign entity that serves in this State as the agent for service of process," or the holder of a designated office or position within the entity. A noncommercial agent is listed by name and address.
Appointments are governed by § 105, and an entity changes its agent under § 108.
The Street Address Rule
A noncommercial registered agent must be listed with a physical Maine street address, and the state's form language is blunt about it: "physical street address, not P.O. Box." A mailbox alone does not satisfy the requirement.

Changing a Maine Registered Agent
The change filing is the Statement of Appointment or Change of Clerk or Registered Agent, Form CLK/RA 3 (official PDF), filed with the Secretary of State's Division of Corporations, UCC and Commissions. The fee for a for-profit entity, which includes every ordinary LLC, is $35. The same shared form also lists a $15 rate, but that applies only to nonprofit corporations; quoting $15 for an LLC agent change is a common mistake.
